CONSTITUTION AND BYLAWS
ARTICLE I
NAME
The name of this association shall be the Nuclear Weapons Technicians Association.
ARTICLE II
OBJECTIVES
The Association (NWTA) is a nationwide organization of military and civilian participants in the nuclear weapons program during the years 1947 to present. This organization through which we, as free people, may unite to address the defensive responsibilities of our nation imposed by the many advances in aerospace and nuclear technology that have been, and will continue to be made; to educate the members and the public at large as to what that technology can contribute to the security of free people and the betterment of mankind; and to advocate and support military preparedness of the United States and its allies adequate to maintain the security of the United States and the free world.
ARTICLE III
LIMITS
The Association shall not be used for the dissemination of partisan principles, nor for the promotion of a candidacy of any person seeking office or preferment, nor for any other personal or commercial gain.
ARTICLE IV
MEMBERSHIP
Members of this Association shall be those persons who have in the past, or are presently serving in the Department of Defense in nuclear weapons maintenance career fields and those Warrant Officers who have performed these duties honorably and with the sense of excellence we have all striven for. Associate membership is available to those persons who do not qualify under the above eligibility requirements, but desire to associate with those members that have helped shape this free world of ours. Honorary membership may be offered at no cost to that member (see Honorary membership below).
ARTICLE V
FINANCE
Section 1. Dues.
Annual dues are paid to the NWTA as required by the Association. No other dues are required. Dues are $20.00 per year for full membership, or a one-time payment of $200.00 for a lifetime membership. Dues for Associate memberships are $24.00 per year. Any member whose dues fall into arrears will lose voting privileges until dues have been paid.
Section 2. Fiscal and Operating Years.
The Fiscal Year of the Association shall be from July 1st to June 30th.. (from month and day to month and day) The Operating Year shall be July 1st to June 30th. (from month and day to month and day)
ARTICLE VI
OFFICERS
Section 1. Elected Officers.
The officers of the NWTA shall be President, Vice President, Secretary and a Treasurer. The officers shall be elected by the general membership at the annual reunion and shall assume office at the conclusion of the convention. The President and Vice President may be elected to the office of President and Vice president for a term of 2 years and for no more than two terms consecutively. The Secretary and Treasurer are elected to a 1 year term are not limited in the numbers of terms they may serve. The President, Vice President, Secretary, and the Treasurer shall constitute the Executive Committee.
There will also be three Trustees elected, each serving for a three year term. These trustees will include the outgoing President or Vice President who are automatically appointed as trustee and two other people. On those years where there is no outgoing President or Vice President, one trustee will be elected, so the terms of the trustees are staggered. On ratification of the 2008 revision to this constitution, the first election consisted of one trustee for a three-year term, one for a two-year term and one for a one-year term. Subsequent elections are for a three year term.
Section 2. Appointed Officers.
Appointed Officers are selected by the President to operate Special or Standing Committees/Councils (when created for a specific purpose). Appointed officers may be removed from office by the President or by a majority vote of the Executive Committee. The term of office shall be the same as for elected officers.
Section 3. Vacancies.
In case of a vacancy in any elective office, it shall be filled by appointment of the President for the remainder of the unexpired term and thereafter until a successor is elected, except that in the case of a vacancy occurring in the office of the President, the duties of that office shall be assumed by the Vice President until such time as a President shall be elected by the Executive Committee.
ARTICLE VII
DUTIES OF OFFICERS
Section 1. President.
The President shall: exercise the powers and perform the duties assigned by the Constitution and Bylaws; supervise the management of the Association; enforce the provisions of the Constitution and Bylaws appoint all standing and special committee officers or councils; and perform such duties as are usually incident of the office. The President shall preside at the reunion and shall be chairman of the Executive Committee.
Section 2. Vice President.
The Vice President shall perform duties as may be assigned by the President or by the Executive Committee and shall discharge the duties of the President whenever the disability or absence of the President as determined by the Executive Committee makes such service advisable.
Section 3. Secretary.
The Secretary shall; keep a record of all proceedings of all meetings and of other matters of which a record shall be ordered by the Executive Committee; notify the officers and all members of committees of their election or appointment; issue notices of special meetings; perform such other duties as may be assigned by the Executive Committee or that are usually incident to the office.
Section 4. Treasurer.
The Treasurer shall; collect and disburse all funds and be the custodian of such funds; make annual financial report and at such other times as requested by the Executive Committee or by the President; make financial records available for inspection by any member of the Executive Committee when requested; and perform such duties as may be assigned by the Executive Committee or are usually incident to the office.
Section 5. Trustees.
The primary purpose is to audit the organizations financial transactions at least once a year and upon replacement of the Treasurer. A report of the audit will be provided to the general membership at the convention and at any other time requested by a member of the Executive Committee. Trustees are also intended to provide continuity of NWTA management.
ARTICLE VIII
EXECUTIVE COMMITTEE
Section 1. Membership.
The executive committee shall consist of the President, Vice President, Secretary, and the Treasurer. The term of the executive committee shall be concurrent with appointed president. The administrative power of the Association shall be vested in the Executive Committee.
Section 2. Administrative Authority Between Reunions.
The Executive Committee shall have administrative authority between reunions for matters not otherwise assigned by the Constitution or Bylaws. This body may meet in person or may vote by mail or electronic communication. Decisions shall be by majority vote and a report of action taken and made available (briefed) at the next reunion.
Section 3. Powers and Duties.
The Executive Committee shall exercise the powers and perform the duties assigned by the Constitution and Bylaws; be responsible for the general management of the Association, approve appointments of standing committees and special committees and councils.
Section 4. Meetings.
The executive Committee shall meet at least annually prior to the convention.
Section 5. Quorum.
A quorum of the Executive Committee shall consist of ¾ of its members.
ARTICLE IX
COMMITTEES
Section 1. Standing Committees.
If desired standing committees may be appointed by the President or the Executive Committee. Standing committees can be for reunion committee, membership, community partners, etc...
Section 2. Special Committees.
The President or the Executive Committee may create special committees. (When any special committee so created makes its final report, the committee ceases to exist).
ARTICLE X
HONORARY MEMBERSHIPS
Section 1. Nominations.
Honorary membership to the NWTA may be made by any member in good standing (dues paid) to the Executive Committee.
Section 2. Honorary Membership Criteria.
The honorary member must have made significant contributions to furthering the ideals and standards this association stands for, and served honorably in their service to this nation. Surviving spouses of NWTA members may also be granted honorary membership upon their request.
Section 3. Procedure.
- Member nominates individual at annual reunion, Executive committee adds nomination to minutes (deliberates if necessary and may ask for justification), requests second from general assembly and if seconded, requests a vote from general membership. If a quorum is obtained, the nomination passes and the Executive Committee extends the Honorary membership.
- The surviving spouses of NWTA members, will, upon their request be accorded honorary membership status.
Section 4. Completion.
Honorary members may attend NWTA meetings, conventions or events, but are non-dues paying and nonvoting members . With the approval of the Executive Committee, they may serve on committees.
ARTICLE XI
ELECTIONS
Section 1. When.
Elections shall be held at the annual convention, time frame to be determined by the Executive Committee/reunion committee (enough time must be allowed for transfer of duties, funds and completion of administrative actions). All Executive Committee positions will be open for nominations. The presiding President may appoint a special committee to oversee this procedure and accept nominations. Members of the special committee will not be eligible for nomination.
Section 2. Nominations.
Nominations may be made by one individual for another individual or an individual may nominate themselves. The nominated individual must accept the nomination (may be verbal or in writing).
Section 3. Voting.
The Executive Committee/special committee will use balloting to determine who is elected. If only four members are nominated balloting is not required.
Section 4. Offices.
The elected members will sequester themselves and determine among themselves who will be the new President, Vice President, Secretary, and Treasurer. If a special committee is appointed they will administer this process and upon completion will notify the previous President on who will fill what office and then announce this to the general membership.
ARTICLE XII
DISCIPLINE
Section 1. Executive Committee.
Any member whose actions reflect discredit upon the Association may be disciplined by majority vote of the Executive Committee to include an appointed/elected officer. Discipline may include suspension or revocation of membership with or without reinstatement and with or without rebate of paid dues.
ARTICLE XIII
PARLIAMENTARY AUTHORITY
The rules contained in Robert's Rules of Order Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with the Constitution and Bylaws of the Association.
AFFIRMATION BY EXECUTIVE COMMITTEE
We the undersigned elected officers, do each affirm that we accept the powers of Charter and Bylaws, in trust, to be exercised in the best interest of the Nuclear Weapons Technician Association, subject at all times to general supervision by the general membership and to perform all duties to the best of our abilities until relieved by voluntary resignation, removal by majority vote of the other members of the Executive Committee or by majority vote of the general membership, duly signified in writing.
